Terms of Service

1. Parties and scope

Yuimaru is a product of Progression Workshops, a trade name (handelsnaam) of the sole proprietorship (eenmanszaak) of Kevin Buoren Shiue, registered with the Dutch Chamber of Commerce under KvK number 93142854, VAT number NL005001145B96, at Munnikenstraat 1 A 4, 2315 KT Leiden, the Netherlands. In these terms, “Progression Workshops”, “we”, and “us” refer to that undertaking, and “Yuimaru” or the “Service” refers to the product.

These terms apply to your use of the Service on all plans, including the free Community plan. By creating an account you agree to them, together with the Data Processing Agreement and Privacy Policy, which form part of this agreement.

2. Definitions

These definitions determine what you pay.

Organization — the legal or informal entity holding the account. One subscription covers one organization. Separate legal entities require separate subscriptions.

Event — one registration form and its associated configuration, schedule, and attendee list. An Event may contain any number of dated sessions or occurrences. A weekly class series published under a single registration form is one Event, not one per week. A new Event is created when a new registration form is opened.

Event count — the number of Events created within a Subscription Year, counted at creation. Deleting an Event does not restore the allowance. Events carried over from a previous Subscription Year are not recounted.

Organizer — a user account with administrative access to at least one Event. Read-only, check-in, and attendee-facing roles do not count toward the organizer limit.

Workshop — a schedulable unit within an Event that an attendee can register for or be assigned to. Counted per Event, not per year.

Attendee — a unique registration record within a single Event. Counted per Event, not per year. Cancelled and refunded registrations count toward the total.

Subscription Year — twelve months from the date of first payment, renewing on the anniversary.

Business day — Monday to Friday, excluding public holidays in the Netherlands and any absence announced on the Yuimaru status page at least seven days in advance.

Response time — the interval between receipt of a support request and the first substantive human reply. It is not a commitment to resolve the issue within that interval.

Support hour allowance — cumulative human time spent on your requests within a Subscription Year, rounded up to the nearest 30 minutes per request. Unused hours do not carry over.

3. Account and eligibility

You must be 18 or older, or an entity with authority to contract. One Organization per subscription. You must provide accurate registration information and keep it current.

4. Plans, limits, and fees

Plans, their prices, and their limits are as published on our pricing page and in the Service, using the definitions in clause 2. The tiers are Community (free), Club, Convention, and Circuit.

No VAT is charged on the Service. We apply the Dutch kleineondernemersregeling (small-business scheme), and the prices stated are the total amount payable. Should we cease to apply that scheme, VAT will be added only from the start of the Organization’s next Subscription Year, and never during a term already paid for.

There is no per-ticket fee and no percentage of ticket revenue, at any tier.

5. Overage

Additional Events. If the Organization creates more Events within a Subscription Year than its plan includes, each additional Event is charged at €5, invoiced at creation.

Attendee, Organizer, and Workshop limits are enforced at the point of creation. The Service will prevent an action that would take an Event past the plan’s Attendee, Organizer, or Workshop limit until the Organization upgrades to a plan whose limits accommodate it. The Service will not close registration or disable an Event that is already within its limit, and will not retroactively invoice for capacity used before a limit was reached.

Downgrades. If the Organization moves to a lower plan whose limits its existing Events already exceed, we do not delete or disable that content. We will notify the Organization, which then has 14 days to return within the new plan’s limits or upgrade. During and after that period existing Events keep running, but the Organization cannot add new Organizers or Workshops, or accept new Attendees, on an Event that is over the new plan’s limit until it is within plan.

6. Payment terms

Paid plans are billed annually in advance to the payment method on file, and renew automatically on the anniversary of first payment. If payment fails, we will attempt to notify you; after 14 days of non-payment, creation of new Events is suspended and access becomes read-only. We do not delete your data for non-payment for 90 days.

7. Support

Support is provided by email in English or Dutch during Business Days. First response times and annual hour allowances are as stated in the plan table. Response times are targets, not guarantees, and are measured to first substantive reply rather than to resolution. Support beyond the included allowance is available at €95 per hour, billed in 30-minute increments, and is performed only after a written quotation has been accepted in writing by the Organization. Support is not provided on the Community plan; Community users are directed to the public documentation.

8. Payments to organizers

Yuimaru does not process, hold, or disburse Attendee payments. The Organization connects its own payment provider account and contracts directly with that provider. Yuimaru is not a party to any transaction between the Organization and an Attendee, is not a payment service provider, and bears no liability for refunds, chargebacks, disputes, or provider fees.

9. Organizer obligations

The Organization is responsible for the lawfulness of its event, its own refund and cancellation policy, its own tax obligations on ticket revenue, the accuracy of its pricing rules, and its communications to Attendees.

10. Acceptable use

No unlawful events, no resale of the platform, no automated scraping, and adherence to any rate limits we apply to the API.

11. Availability

Yuimaru is provided on an “as available” basis. No uptime percentage is warranted. We will use reasonable efforts to schedule maintenance outside European evening and weekend hours and to announce planned maintenance in advance.

12. Data ownership, export, and deletion

The Organization owns its event and attendee data. You may export it in a machine-readable format at any time, including after termination for 90 days. We delete it on request, subject to clause 14 of the DPA and to invoices we must retain for tax purposes.

13. Intellectual property

Yuimaru retains all rights in the platform. The Organization retains all rights in its own content.

14. Warranties and liability

To the extent Dutch law permits, we disclaim implied warranties. Our total liability arising out of or in connection with the Service is capped at the fees the Organization paid in the twelve months preceding the event giving rise to the claim, and we exclude indirect and consequential loss. Nothing in these terms excludes or limits liability for intent or gross negligence, or any liability that cannot be excluded under Dutch law.

15. Term and termination

Subscriptions are annual and auto-renewing. Either party may terminate with 30 days’ notice before renewal. We may terminate for material breach after written notice and a reasonable cure period.

16. Refunds

The Organization may request a full refund of its subscription or per-Event fee at any time before the first Event created under that subscription or purchase has started. An Event is treated as started at the beginning of its first scheduled session, or on the date the Organization designates as its start date, whichever is earlier. Once any Event under a subscription has started, that Subscription Year is non-refundable, including any additional-Event charges already invoiced. Support hours already consumed are deducted from the refund at the applicable hourly rate.

On refund, the Organization’s access converts to read-only for 30 days, during which it may export all of its Event and Attendee data in a machine-readable format. After 30 days the data is deleted. Following a refund, the Organization is solely responsible for its Events, including all communication with Attendees, collection and refunding of Attendee payments, and fulfilment of any obligations to Attendees. Yuimaru has no continuing role in those Events.

17. Changes to terms and pricing

We may change these terms. For price increases we give 60 days’ notice, effective at your next renewal; existing subscribers are not repriced mid-term. The version and date at the top show the current one.

18. Governing law

Dutch law governs these terms. Disputes are subject to the jurisdiction of the courts of the district where Progression Workshops is established.
